Service Agreement, Terms & Cleaning Disclaimer

This Service Agreement (“Agreement”) is entered into between Dream Clean USA (“Company”) and the customer, homeowner, tenant, contractor, property manager, business, or organization requesting services (“Client”).
By approving an estimate, scheduling service, signing electronically, communicating approval by email or text message, submitting payment, or allowing Dream Clean USA to begin work, the Client acknowledges that they have read, understood, and agreed to all terms, conditions, disclaimers, and policies outlined in this Agreement.
This Agreement applies to all residential, commercial, recurring maintenance, post-construction, specialty, municipal, and government cleaning services provided by Dream Clean USA.
1. Authorization to Perform Services
Dream Clean USA will only perform services after receiving approval from the Client.
Approval may be provided through:
• Signed agreements
• Email confirmations
• Text message confirmations
• Electronic approvals
• Online booking submissions
• Invoice approvals
• Verbal confirmation followed by scheduling
The Client acknowledges that electronic communication and email approval shall carry the same legal effect as a physical signature.
By authorizing services, the Client confirms that they:
• Have read and accepted this Agreement
• Approve the quoted scope of work
• Understand the pricing and payment terms
• Authorize Dream Clean USA to access and service the property
Electronic approval shall constitute a legally binding agreement enforceable to the fullest extent permitted by law.
2. Scope of Services
Dream Clean USA agrees to provide cleaning services only for the tasks, rooms, areas, and services specifically listed in the written estimate, invoice, proposal, work order, or maintenance agreement.
Any work not specifically listed in writing is not included within the agreed scope of service.
Services may include but are not limited to:
• Residential cleaning
• Commercial cleaning
• Deep cleaning
• Move-in and move-out cleaning
• Post-construction cleaning
• Recurring maintenance cleaning
• Specialty cleaning services
• Government and municipal cleaning contracts
Dream Clean USA reserves the right to modify, pause, refuse, or discontinue services if conditions at the property differ substantially from what was originally disclosed.
3. Estimates and Property Conditions
All estimates are based on the visible condition of the property at the time the estimate is performed.
The Client understands that property conditions may change between the estimate date and the scheduled cleaning date due to:
• Construction progress
• Additional dust or debris accumulation
• Contractor activity
• Delays between estimate and service
• Material installations or removals
• Lack of site preparation
• Property neglect or occupancy changes
Dream Clean USA reserves the right to revise pricing, labor requirements, project timelines, or scope of work if property conditions substantially change before services begin.
Additional charges may apply for:
• Adhesive residue removal
• Vinyl, tape, sticker, or protective film removal
• Paint overspray cleanup
• Excessive construction dust
• Additional debris removal
• Re-cleaning caused by contractor activity
• Disruptions caused by third-party vendors
• Undisclosed cleaning conditions
The Client acknowledges that all pricing is based solely on the condition of the property during the original estimate and not on conditions that exist days or weeks later.
4. Deposits and Scheduling
Dream Clean USA may require a deposit of up to 50% of the projected service total before scheduling or confirming certain projects.
Deposits may be required for:
• Deep cleaning projects
• Large residential jobs
• Commercial cleaning projects
• Post-construction cleaning
• Specialty services
• Government or municipal projects
Deposits reserve scheduling time, staffing, materials, and operational resources.
Deposits may become non-refundable if cancellations occur within the restricted cancellation period or after resources have already been allocated to the project.
5. Payment Terms
The Client agrees to pay the full invoice amount for all completed services.
Unless otherwise agreed in writing:
• Payment is due within 48 hours of service completion
• Approved payment methods may include debit card, credit card, electronic payment, ACH transfer, or other approved payment methods
Failure to submit payment within the required timeframe may result in additional fees, suspension of future services, collection activity, and legal enforcement.
6. Recurring Maintenance Service Billing
Clients enrolled in recurring maintenance cleaning programs must maintain a valid payment method on file.
Recurring maintenance services may include:
• Weekly service
• Bi-weekly service
• Monthly service
• Commercial routine cleaning
By enrolling in recurring services, the Client authorizes Dream Clean USA to process payment after each completed service unless otherwise agreed in writing.
Failure to maintain a valid payment method may result in immediate suspension or cancellation of recurring services.
7. Additional Work and Scope Changes
Any work requested outside the original written agreement shall be considered additional work and may result in revised pricing.
Examples of additional work include but are not limited to:
• Cleaning additional rooms or areas
• Additional labor caused by excessive buildup
• Appliance cleaning not originally quoted
• Adhesive or residue removal
• Additional post-construction cleanup
• Trash or debris removal exceeding normal conditions
• Specialty cleaning requests added during service
Dream Clean USA reserves the right to approve, deny, reschedule, or reprice additional work requests.
If the Client attempts to substantially alter the agreed scope of work during active service without prior approval, Dream Clean USA reserves the right to discontinue services immediately.
8. Access to Property
The Client is responsible for ensuring safe and timely access to the property at the scheduled service time.
Access may include:
• Being present onsite
• Providing access codes
• Providing keys
• Coordinating with property management or contractors
If the cleaning team is unable to access the property or experiences delays caused by the Client or third parties, Dream Clean USA reserves the right to charge:
• Lockout fees
• Waiting time charges
• Rescheduling fees
• Additional labor charges
9. Cancellation and Rescheduling Policy
Clients must provide at least 48 hours notice for cancellations or rescheduling requests.
Failure to provide adequate notice may result in:
• Cancellation fees
• Rescheduling charges
• Minimum service charges
• Loss of deposit
Dream Clean USA reserves the right to reschedule appointments due to:
• Severe weather
• Staffing limitations
• Equipment issues
• Safety concerns
• Operational delays
• Unforeseen circumstances
10. Property Safety and Work Conditions
The Client agrees to maintain the property in a reasonably safe and accessible condition.
Dream Clean USA reserves the right to refuse, stop, or postpone services if the property contains:
• Hazardous materials
• Biohazards
• Dangerous animals
• Unsafe structures or environments
• Hoarding conditions
• Illegal activity
• Unsafe working conditions
Work may also be discontinued if the Client, occupants, contractors, or other individuals onsite engage in disrespectful, threatening, abusive, hostile, or inappropriate conduct toward Dream Clean USA staff.
11. Estimate Documentation and Property Records
Dream Clean USA may photograph, video record, or otherwise document the condition of the property before, during, and after service for purposes including:
• Estimate preparation
• Scope verification
• Quality assurance
• Service documentation
• Dispute resolution
• Legal protection and evidence
The Client acknowledges that photographs and documentation created during the estimate process establish the visible condition of the property prior to service.
These records may be retained and used as supporting evidence in legal disputes, payment disputes, insurance claims, collection matters, or court proceedings when necessary.
12. Liability Disclaimer
Dream Clean USA exercises reasonable care while performing services. However, the Company shall not be responsible for damages resulting from ordinary cleaning processes except in cases involving proven gross negligence or intentional misconduct.
The Client acknowledges that cleaning may involve interaction with materials, fixtures, surfaces, or items that may be:
• Fragile
• Aged
• Previously damaged
• Improperly secured
• Defective
• Structurally unstable
The Client accepts these inherent risks associated with professional cleaning services.
13. Pre-Existing Damage
Dream Clean USA is not responsible for damage to items that were previously damaged, improperly installed, unsecured, unstable, defective, or deteriorated prior to cleaning.
The Client is responsible for protecting and securing:
• Fragile items
• Antiques
• Artwork
• Electronics
• Valuables
• Personal belongings
• Loose décor or breakable items
14. Reporting Concerns or Claims
Any concerns regarding completed services must be reported within 24 hours of service completion.
Prompt reporting allows Dream Clean USA the opportunity to inspect, investigate, and address concerns appropriately.
Failure to report concerns within the required timeframe may limit the Company’s ability to investigate or resolve the matter.
15. Late Payments, Interest, and Collections
Payment for services is due within 48 hours after service completion.
Any unpaid balance shall accrue interest at a rate of 15% per day until the outstanding balance is paid in full.
Dream Clean USA reserves the right to:
• Apply late fees
• Suspend future services
• Submit unpaid balances to collections
• Pursue legal action for recovery of unpaid amounts
The Client agrees to pay all collection costs, attorney fees, court costs, administrative expenses, and legal fees incurred by Dream Clean USA in recovering unpaid balances.
Failure to submit payment and failure to resolve outstanding balances may result in additional legal remedies permitted by law.
16. Licensed and Insured Operations
Dream Clean USA operates as a licensed and insured cleaning service provider.
Proof of insurance may be provided when required for:
• Commercial properties
• Government contracts
• Vendor compliance
• Property management agreements
17. Non-Solicitation of Employees
The Client agrees not to directly or indirectly hire, solicit, contract, or employ any Dream Clean USA employee or contractor outside of the Company.
This restriction applies during active service and for twelve (12) months following the final service date.
Violation of this provision may result in a placement fee of $5,000 or an amount equal to six months of service value, whichever amount is greater.
18. Marketing and Media Authorization
Dream Clean USA may use photographs or videos of completed work for:
• Marketing materials
• Website content
• Social media
• Before-and-after demonstrations
• Training purposes
Reasonable efforts will be made to avoid displaying sensitive or personally identifying information.
Clients who do not consent to marketing usage must notify Dream Clean USA in writing before services begin.
19. Right to Refuse or Discontinue Service
Dream Clean USA reserves the right to refuse, pause, or discontinue services if:
• Unsafe conditions exist
• Staff safety becomes compromised
• The Client behaves disrespectfully
• Additional unapproved work is demanded
• Property conditions differ substantially from the estimate
• Third-party contractors interfere with services
• Operational conditions become unreasonable
If services are discontinued, the Client may remain responsible for labor performed, reserved scheduling time, material costs, and applicable fees.
20. Limitation of Liability
To the fullest extent permitted by law, Dream Clean USA’s total liability for any claim arising from services shall be limited to the total amount paid for the specific service involved in the claim.
Under no circumstances shall Dream Clean USA be liable for:
• Indirect damages
• Consequential damages
• Loss of income
• Business interruption
• Property value reduction
• Emotional distress
• Third-party contractor contamination or damages occurring after service completion
21. Governing Law
This Agreement shall be governed by the laws of the State of Washington.
Any legal disputes arising from services provided by Dream Clean USA shall be resolved exclusively within the courts located in the State of Washington.
22. Entire Agreement
This Agreement represents the complete understanding between Dream Clean USA and the Client and supersedes all prior communications, estimates, discussions, or agreements whether written or verbal.
Any modifications to this Agreement must be made in writing and approved by both parties.
23. Acceptance of Terms
By approving services electronically, scheduling services, signing digitally, submitting payment, or allowing Dream Clean USA to begin work, the Client acknowledges that they have read, understood, and accepted all terms, policies, conditions, disclaimers, and provisions contained within this Agreement.
